Fleetraly Terms of Service

By accessing or using the Fleetraly platform ("Fleetraly"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms that may apply to specific features or services. If you are using the Fleetraly on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

The following terms have specific meanings throughout this agreement:

To use the Fleetraly, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Be a legally registered business entity (for Tenant accounts)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Fleetraly under applicable laws
• Provide accurate and complete registration information

When creating an account on the Fleetraly, you agree to the following responsibilities:

Fleetraly provides a cloud-based car rental management platform that includes, but is not limited to, the following services:

Paid Fleetraly subscriptions are sold through Paddle as authorized reseller:

• Subscription fees are billed in advance each month and renew automatically until cancelled
• Refunds are handled under Paddle’s Refund Policy and Buyer Terms, subject to applicable mandatory rights
• Prices may be modified with at least 30 days' prior notice before the next billing cycle
• Failure to pay may result in suspension or termination of access to the Fleetraly
• Taxes and applicable fees are the responsibility of the Tenant and may be added to the subscription price

When using the Fleetraly, you agree NOT to:

• Use the Fleetraly for any unlawful purpose or in violation of any applicable laws or regulations
• Upload or transmit viruses, malware, or any harmful code that could damage or interfere with the Fleetraly
• Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Fleetraly
• Reverse engineer, decompile, or disassemble any part of the Fleetraly's software or infrastructure
• Use automated tools (bots, scrapers) to access the Fleetraly without our prior written consent
• Resell, sublicense, or share your account access with unauthorized third parties
• Interfere with or disrupt the Fleetraly's servers, networks, or performance
• Upload content that is defamatory, obscene, or infringes on the intellectual property rights of others

Your data remains your property at all times. We process your data in accordance with our Privacy Policy. As a data processor, Fleetraly agrees to:

• Process your data only as necessary to provide the Fleetraly services
• Implement appropriate technical and organizational security measures
• Not access your data except as required for service delivery, support, or legal compliance
• Provide data export capabilities upon request
• Delete your data within 30 days of account termination, subject to legal retention requirements

We strive to maintain high availability of the Fleetraly, but we do not guarantee uninterrupted service:

To the maximum extent permitted by law:

• Fleetraly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Fleetraly
• Our total aggregate liability shall not exceed the amount you paid to Fleetraly in the 12 months preceding the claim
• We are not liable for any loss of data, revenue, profits, or business opportunities resulting from Fleetraly unavailability or errors
• We are not responsible for third-party services, integrations, or payment processors used in conjunction with the Fleetraly

The Fleetraly is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Fleetraly will be error-free, uninterrupted, secure, or meet your specific requirements.

You agree to indemnify, defend, and hold harmless Fleetraly, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Fleetraly
• Your violation of these Terms or any applicable law or regulation
• Your Content or any data you upload to the Fleetraly
• Your infringement of any third-party intellectual property or other rights

Either party may terminate these Terms as follows:

These Terms are governed by and construed in accordance with the laws of Palestine. Any disputes arising from or in connection with these Terms shall be resolved through:

1. 1Good faith negotiation between the parties for a minimum of 30 days
2. 2Mediation administered by a mutually agreed mediator if negotiation fails
3. 3Binding arbitration in Ramallah, Palestine, if mediation is unsuccessful
4. 4The courts of Ramallah, Palestine, shall have exclusive jurisdiction for any legal proceedings

We may modify these Terms at any time. Material changes will be communicated at least 30 days in advance via email and a prominent notice on the Fleetraly. Your continued use of the Fleetraly after changes become effective constitutes acceptance of the revised Terms. If you disagree with any changes, you must stop using the Fleetraly and cancel your subscription.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and any supplemental terms, constitute the entire agreement between you and Fleetraly regarding the use of the Fleetraly.
